1. General provisions

The online store available at www.sinelio.com (the “Store”) is operated by Sinelio Laboratories, with registered address at OMC Chambers, Wickhams Cay 1, Road Town, Tortola, British Virgin Islands (the “Seller”).

These Terms & Conditions set out the rules for using the Store, placing orders, purchasing products offered through the Store, delivery, payment, withdrawal, returns, complaints, customer accounts, product reviews and other electronic services provided through the Store.

By placing an order in the Store, the Customer confirms that they have read and accepted these Terms & Conditions, are at least 18 years old, have legal capacity to enter into a binding agreement, and will use the Products only for lawful and permitted purposes.

Product descriptions, technical parameters, prices and other information presented in the Store are intended as an invitation to place an order and do not constitute a binding offer until the order is accepted by the Seller.

The Customer may access, save and print these Terms & Conditions at any time from the Store website.

2. Definitions

For the purposes of these Terms & Conditions, the following terms have the meanings set out below:

  • Business Day means any day other than Saturday, Sunday or a public holiday applicable to the Seller or the relevant payment, fulfilment or delivery provider.
  • Cart means the Store functionality where Products selected by the Customer are displayed before an Order is placed.
  • Consumer means a natural person purchasing Products for purposes that are not primarily related to their trade, business, craft or profession, where applicable consumer protection rules recognize such status.
  • Customer means a natural person, legal person or organizational unit that uses the Store, creates an Account or places an Order.
  • Electronic Service means any service provided electronically through the Store, including Account registration, Cart functionality, Order forms, contact forms, newsletter subscription and product review functionality.
  • Newsletter means an optional electronic communication service through which the Customer may receive information about Products, educational materials, updates, promotions and Store-related news.
  • Order means a declaration made by the Customer through the Store that leads to the purchase of selected Products, subject to acceptance by the Seller.
  • Product means any item offered for sale in the Store, including chemical substances, reference materials, laboratory accessories and related products under the Sinelio brand.
  • Seller means Sinelio Laboratories, OMC Chambers, Wickhams Cay 1, Road Town, Tortola, British Virgin Islands.
  • Store means the online store operated at www.sinelio.com.
  • Terms & Conditions means this document.

The Seller does not provide customer support by telephone. Customer communication should be sent by email or through contact forms available in the Store.

4. Technical requirements

To use the Store, browse Products, create an Account or place an Order, the Customer needs:

  • a device with internet access, such as a computer, tablet or smartphone;
  • an up-to-date web browser;
  • an active email address;
  • cookies enabled, at least to the extent necessary for the Cart, checkout, login and security functions;
  • JavaScript enabled.

The Seller is not responsible for interruptions or limitations in Store functionality caused by force majeure, internet service failures, third-party actions, incompatible Customer hardware or software, browser settings, payment provider outages, hosting outages or other circumstances outside the Seller’s reasonable control.

5. Product information and research-use restriction

Important notice: Products offered in the Store, including peptides and other specialist materials, are chemical substances, reference materials and/or laboratory-related products intended exclusively for lawful scientific, research, analytical, educational or laboratory use.

Products are not intended for use in or on humans or animals. Products are not medicines, medicinal products, medical devices, dietary supplements, foods, food additives, cosmetics or products intended for human or veterinary use, unless a product page expressly states otherwise.

Products must not be consumed, injected, inhaled, administered, applied to the body, used for diagnosis, treatment or prevention of any disease, or used in any manner inconsistent with their stated research-use purpose.

Information presented in the Store is provided for general informational and educational purposes only. It does not constitute medical, pharmaceutical, veterinary, legal, regulatory, toxicological or safety advice and must not be treated as a recommendation for any particular use of a Product.

By placing an Order, the Customer represents and warrants that:

  • they are at least 18 years old;
  • they will use Products only for lawful scientific, research, analytical, educational or laboratory purposes;
  • they have the knowledge, facilities, procedures and qualifications necessary to handle chemical substances safely and lawfully;
  • they have reviewed the relevant Product information before purchase;
  • they will not use Products in or on humans or animals;
  • they will not resell, transfer or provide Products to third parties for human or animal use;
  • they are responsible for verifying whether the purchase, import, possession, storage, transport and use of Products is lawful in their jurisdiction.

The Seller may refuse, suspend or cancel any Order if the Seller reasonably suspects that the Customer may use Products unlawfully, unsafely, for human or animal use, or otherwise contrary to these Terms & Conditions.

Images, descriptions, packaging details, certificates, specifications and other Product information may vary from batch to batch. The Seller may update Product information at any time. Minor differences that do not materially affect the Product’s identity or specification do not constitute non-conformity.

6. Electronic services

The Seller may provide Electronic Services through the Store, including Account registration, Account maintenance, Cart functionality, Order forms, contact forms, newsletter subscription and product review functionality.

Creating an Account is voluntary unless a particular Store function requires login. The Customer must provide accurate, current and complete information and keep login credentials confidential.

The Customer must not use the Store to submit unlawful content, interfere with Store security, attempt unauthorized access, disrupt Store operation, infringe third-party rights, send spam or use automated tools in a way that could overload or damage the Store.

The Customer may request deletion of an Account by contacting the Seller, subject to retention of data that the Seller is required or permitted to keep for order handling, tax, accounting, legal, fraud-prevention or dispute-resolution purposes.

Newsletter subscription is voluntary. The Customer may unsubscribe at any time using the unsubscribe link in the newsletter or by contacting the Seller.

7. Ordering rules

Orders may be placed through the Store by selecting Products, adding them to the Cart, providing required checkout information, selecting delivery and payment options where available, and confirming the Order.

Before placing an Order, the Customer should verify Product selection, quantity, price, billing details, delivery address, delivery method, payment method and any additional charges shown at checkout.

After an Order is placed, the Customer may receive an automatic confirmation that the Order has been received. This does not necessarily mean that the Order has been accepted. The sales contract is formed when the Seller confirms acceptance of the Order or begins fulfilment, whichever occurs first.

The Seller may contact the Customer to verify Order details, confirm research-use declarations, request missing information, verify legal eligibility, or resolve payment or delivery issues.

The Seller may refuse or cancel an Order, in whole or in part, where:

  • the Product is unavailable;
  • payment is not completed or is reversed;
  • the Customer provides inaccurate, incomplete or suspicious information;
  • the Order appears fraudulent, unlawful or inconsistent with the research-use restriction;
  • shipping to the Customer’s location is unavailable, restricted or not reasonably possible;
  • the Order contains an obvious pricing, product or technical error;
  • fulfilment would breach applicable laws, carrier rules, payment provider rules or these Terms & Conditions.

8. Payments

Available payment methods are displayed during checkout. Payment may be processed by third-party payment providers, and the Customer may be required to accept the provider’s own terms, security checks and payment procedures.

Prices are shown in the currency displayed in the Store. Taxes, duties, customs charges, shipping fees and other costs may be shown separately before Order confirmation where applicable or may be charged by third parties according to the rules applicable in the destination jurisdiction.

The Customer is responsible for any bank fees, currency conversion charges, customs duties, import taxes or other charges imposed by third parties, unless the checkout expressly states otherwise.

If payment is not completed, is declined, is reversed or is suspected to be fraudulent, the Seller may suspend or cancel the Order.

9. Delivery

Available delivery methods, estimated delivery times and shipping costs are displayed during checkout where available.

Delivery times are estimates only and may be affected by carrier operations, customs clearance, incorrect delivery details, payment verification, stock availability, weather, force majeure, local restrictions or other circumstances outside the Seller’s reasonable control.

The Customer must provide accurate and complete delivery information. The Seller is not responsible for delays, failed deliveries or additional costs caused by incorrect or incomplete Customer information.

The Customer is responsible for checking whether Products may be lawfully imported, received, stored and used in the destination jurisdiction. The Seller may refuse or cancel shipping to certain countries, regions, persons, entities or addresses where legal, safety, carrier, payment or business restrictions apply.

Risk of loss or damage may pass according to the delivery method and mandatory laws applicable to the transaction. If the shipment appears damaged on delivery, the Customer should document the damage and contact the Seller without undue delay.

10. Performance of the sales contract

The Seller fulfils accepted Orders by preparing the Products for shipment and handing them over to the relevant delivery provider or otherwise making them available according to the delivery option selected at checkout.

If the Seller cannot fulfil an Order in whole or in part, the Seller may contact the Customer to propose a substitute, delayed shipment, partial fulfilment or refund. If no acceptable solution is agreed, the Seller may cancel the affected part of the Order and refund any payment received for that part.

The Customer must inspect Products promptly after delivery and notify the Seller of any missing, damaged or incorrect Products without undue delay.

11. Withdrawal and returns

Where mandatory consumer protection rules grant the Customer a right to withdraw from the contract or return Products, the Seller will respect such mandatory rights.

To exercise a withdrawal or return right, the Customer should contact the Seller by email at contact@sinelio.com and may use the model form in Annex 1.

Unless mandatory law provides otherwise, Products may be returned only if they are unused, unopened, complete, undamaged, stored according to applicable instructions, and returned in a condition allowing verification and resale where legally permitted.

Because Products may include chemical substances, reference materials or laboratory-related items, returns may be refused where a Product has been opened, used, damaged, contaminated, stored improperly, has lost its sealed or controlled condition, or cannot safely or lawfully be accepted back.

The Customer is responsible for return shipping costs unless mandatory law or a specific Store policy provides otherwise. The Seller may withhold a refund until the returned Products are received and inspected or until the Customer provides sufficient proof of return shipment, whichever is accepted by the Seller.

Refunds are normally made using the original payment method unless another method is agreed or required by the payment provider.

12. Complaints

The Customer may submit a complaint regarding Product non-conformity, missing items, incorrect Products, delivery damage, Store malfunction or Electronic Services.

Complaints should be sent to contact@sinelio.com. The Customer may use the model complaint form in Annex 2.

To help the Seller review a complaint efficiently, the Customer should provide:

  • Customer name and contact details;
  • Order number;
  • Product name and quantity;
  • a clear description of the issue;
  • photos, videos, shipment documents or other evidence where relevant;
  • the Customer’s preferred resolution, where applicable.

The Seller will review complaints within a reasonable time, taking into account the complexity of the issue, the need for additional information, supplier or carrier verification, and applicable mandatory rules.

Possible resolutions may include explanation, replacement, missing item shipment, price reduction, refund, repair where appropriate, or another remedy required by applicable mandatory law.

13. Out-of-court complaint handling

The Customer may use available out-of-court dispute resolution methods where such methods are applicable to the transaction and accepted by the relevant authority, payment provider, marketplace, mediator, arbitration body or consumer protection body.

Nothing in these Terms & Conditions limits any mandatory right that a Consumer may have to use a competent consumer protection authority, dispute resolution body or court in the Customer’s jurisdiction.

14. Product reviews

The Store may allow Customers to publish Product reviews. Reviews should be truthful, relevant, lawful and based on the Customer’s own experience with the Product or Store.

The Customer must not submit reviews that are unlawful, misleading, promotional, spam-like, offensive, defamatory, infringe third-party rights, contain personal data of others, or encourage unsafe, unlawful, human or animal use of Products.

The Seller may moderate, refuse or remove reviews that breach these Terms & Conditions or applicable law. The Seller may also use reasonable measures to verify whether reviews come from Customers who purchased or used the Product.

15. Promotions and discount codes

The Seller may offer promotions, discount codes, bundles, loyalty benefits or other temporary commercial offers. Each promotion may be subject to additional rules, eligibility conditions, minimum order values, excluded Products, validity periods or usage limits.

Unless the promotion rules state otherwise, promotions and discount codes cannot be exchanged for cash, combined with other promotions, applied retroactively to previous Orders, transferred or resold.

The Seller may refuse or cancel use of a promotion where it is used fraudulently, unlawfully, contrary to the promotion rules or due to an obvious technical or pricing error.

16. Personal data

Information about how the Seller collects, uses, stores and protects personal data is provided in the Store’s Privacy Policy.

By using the Store, creating an Account, subscribing to the Newsletter, contacting the Seller or placing an Order, the Customer acknowledges that personal data may be processed for purposes such as Store operation, Order fulfilment, payment handling, delivery, customer support, fraud prevention, legal compliance and marketing where permitted.

17. Intellectual property

All Store content, including text, graphics, layout, photographs, product descriptions, logos, trademarks, software elements and other materials, is owned by the Seller or its licensors unless stated otherwise.

The Customer may use Store content only for personal, non-commercial purposes connected with normal use of the Store. Copying, modifying, distributing, scraping, reproducing, selling, publishing or otherwise exploiting Store content without permission is prohibited, except where allowed by mandatory law.

18. Final provisions

Contracts concluded through the Store are concluded in English unless the Store expressly provides another language option.

The Seller may amend these Terms & Conditions for legitimate reasons, including changes in Store functionality, payment or delivery methods, Product range, business model, security requirements, legal requirements or operational needs. The current version will be available on the Store website.

Orders placed before a change to these Terms & Conditions are governed by the version accepted at the time of placing the Order, unless mandatory law or the Customer’s consent provides otherwise.

If any provision of these Terms & Conditions is found invalid, unlawful or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

These Terms & Conditions are governed by the laws applicable to the Seller’s registered place of business, without excluding any mandatory consumer protection rights that may apply to Consumers in their country of residence.

Any dispute should first be addressed by contacting the Seller at contact@sinelio.com. If the dispute cannot be resolved amicably, it may be submitted to the competent court or dispute resolution body determined under applicable mandatory rules.
